This tool explains filing routes. It does not decide where you must register or how your business will be taxed.
What to have ready
The state form asks for your company details and a registered agent. This is the person or company that accepts legal papers for the business.
- Choose the name. Check it against the state's business records before filing.
- Set out the company details. Have your main office and mailing addresses ready. Decide whether the owners or appointed managers will run the LLC.
- Get the agent's consent. Confirm their Colorado address and that they meet the current rules.
- File the Articles of Organization. Use the state's online form or choose filing help after checking your situation above.
After you file
File a periodic report each year. Check your state record for the month it is due. Keep the agent’s name and address up to date. You may also need to register for tax and get licenses for your work.
Read the periodic report rules ↗Already formed in another state?
Colorado calls a business formed elsewhere a foreign entity. You may need state approval to do business here instead of a new LLC. It depends on what you do and where people work. Having a Colorado customer alone does not settle it.
Read the state's out-of-state business guidance ↗Applying for a grant?
Forming an LLC or paying for a registered agent does not qualify you for funding. Check the grant's business-stage and timing rules before you spend.
